These Terms & Conditions of Sale ("Terms") govern all purchases, orders, and business transactions made through Banlilo, operated by GlobeLink (Hong Kong) International Supply Chain Group Co., Limited ("Banlilo", "we", "us", or "our").
By accessing our website, submitting an inquiry, placing an order, or purchasing products from Banlilo, you ("Buyer", "you", or "your") acknowledge that you have read, understood, and agreed to these Terms.
These Terms apply to all wholesale purchases, ready-stock products, private label products, customized products, and related business services provided by Banlilo.
1. Business Relationship and Product Supply
Banlilo operates as a business-to-business wholesale cosmetics supplier, providing beauty and personal care products to business customers worldwide.
Our products and services include:
- Ready-stock cosmetic products;
- Wholesale supply solutions;
- Private label products;
- Customized packaging solutions;
- OEM/ODM-related services where applicable.
All transactions conducted through Banlilo are intended for commercial purposes. Buyers represent that they are purchasing products for business use, resale, distribution, or other commercial activities.
2. Product Information and Industry Similarities
Our products are manufactured using cosmetic ingredients permitted under applicable laws and regulations and are supplied with standard or customized packaging as agreed.
Due to the nature of the cosmetics industry, similarities may exist between products available in the market regarding:
- Ingredients;
- Product concepts;
- Formulation characteristics;
- Packaging styles;
- Appearance;
- Product categories.
Such similarities are common within the cosmetics industry and do not, by themselves, constitute intellectual property infringement.
Banlilo does not manufacture, sell, distribute, or knowingly authorize counterfeit products or products that intentionally infringe upon third-party intellectual property rights.
3. Private Label, Customization and Intellectual Property
For eligible private label or customized orders, Buyers may provide:
- Trademarks;
- Logos;
- Labels;
- Packaging artwork;
- Product names;
- Marketing materials;
- Other related content.
The Buyer represents and warrants that all materials provided to Banlilo:
- Are legally owned by the Buyer; or
- Are properly licensed or authorized for commercial use.
The Buyer shall be solely responsible for any claims, disputes, damages, penalties, costs, or liabilities arising from:
- Trademark infringement;
- Copyright infringement;
- Unauthorized use of intellectual property;
- False or misleading claims;
- Regulatory violations caused by Buyer-provided materials.
Banlilo reserves the right to refuse any materials that may violate applicable laws or third-party rights.
4. Ready-Stock Product Identification
Ready-stock products are supplied with their original packaging, labels, trademarks, batch information, and product identification.
Without prior written authorization from Banlilo, Buyers shall not:
- Remove original trademarks or labels;
- Alter batch codes or product identification;
- Cover or replace manufacturer information;
- Modify packaging in a misleading manner;
- Create any false association with third-party brands.
The Buyer assumes full responsibility for any consequences arising from unauthorized modification, relabeling, repackaging, or resale activities.
5. Product Availability and Minimum Order Quantity
Product availability, pricing, and minimum order quantities (MOQs) may vary depending on:
- Product category;
- Stock availability;
- Customization requirements;
- Packaging requirements;
- Production arrangements.
Banlilo reserves the right to update product availability, specifications, pricing, or MOQs without prior notice.
Any confirmed order accepted by Banlilo will be processed according to the agreed order details.
6. Orders and Payment Terms
An order becomes effective only after:
- Product availability has been confirmed;
- Required information has been provided;
- Full payment or agreed payment terms have been received.
Unless otherwise agreed in writing:
- Full payment is required before shipment;
- Production or order preparation begins after payment confirmation;
- Orders cannot be modified after processing has started.
The Buyer is responsible for all transaction fees, bank charges, payment processing fees, and related costs.
7. Pricing, Taxes and Additional Charges
Unless otherwise stated, all product prices exclude:
- International shipping fees;
- Customs duties;
- Import taxes;
- VAT/GST;
- Customs clearance fees;
- Other government charges.
All such costs shall be paid by the Buyer.
The Buyer is responsible for understanding and accepting all applicable costs and requirements associated with importing products into the destination country.
8. Shipping and Delivery
Banlilo arranges shipment after payment confirmation and completion of order preparation.
Delivery times provided by Banlilo are estimates only and are not guaranteed.
Delivery may be affected by:
- Customs clearance;
- Carrier schedules;
- Flight availability;
- Weather conditions;
- Government regulations;
- Import procedures;
- Force majeure events.
Banlilo shall not be liable for delays, inspections, detention, seizure, or other events occurring after shipment.
9. Inspection and Claims
All products are inspected before shipment.
Upon receipt of goods, the Buyer shall promptly inspect the shipment.
Claims relating to:
- Missing products;
- Incorrect products;
- Visible transportation damage;
must be submitted in writing within:
five (5) business days after receipt of the goods
The Buyer must provide supporting evidence, including photographs, videos, or other relevant documentation.
Claims submitted after this period may not be accepted.
10. Regulatory Compliance and Buyer Responsibility
The Buyer is solely responsible for ensuring that products comply with applicable laws and regulations in the destination market.
This includes, but is not limited to:
- Product registration;
- Import approval;
- Cosmetic regulations;
- Ingredient restrictions;
- Labeling requirements;
- Advertising and marketing claims.
Banlilo does not guarantee that products automatically comply with every country's specific regulatory requirements unless expressly agreed in writing.
11. Product Images and Variations Disclaimer
Product images, descriptions, and specifications displayed on the website are provided for reference purposes.
Actual products may vary slightly due to:
- Lighting conditions;
- Screen display settings;
- Production batches;
- Packaging updates;
- Manufacturing tolerances.
Minor variations in color, appearance, texture, fragrance, or packaging shall not be considered product defects or grounds for rejection, refund, or compensation.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Banlilo's total liability arising from any transaction shall not exceed the purchase price of the affected products.
Banlilo shall not be liable for:
- Indirect losses;
- Consequential damages;
- Loss of profits;
- Business interruption;
- Loss of business opportunities;
- Loss of reputation or goodwill.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws applicable to GlobeLink (Hong Kong) International Supply Chain Group Co., Limited.
Any dispute arising out of or relating to these Terms shall first be resolved through good-faith negotiation.
If no resolution can be reached through negotiation, the dispute shall be submitted to the competent court or arbitration institution having jurisdiction over Banlilo's registered place of business, unless otherwise agreed in writing.
14. Amendments to These Terms
Banlilo reserves the right to update or modify these Terms from time to time.
Updated Terms will be published on this page with the revised effective date.
The continued use of our website or placement of orders after changes are published constitutes acceptance of the updated Terms.
15. Acceptance of Terms
By accessing our website, submitting an inquiry, placing an order, or purchasing products from Banlilo, the Buyer confirms that they have read, understood, and agreed to these Terms & Conditions of Sale.
